Assignment: General Counsel & Investment Counsel

Prime Advocates acts as general counsel to various social enterprises. Our work with such a typical client has focused on three key areas:

Scope operational and legal risks: We manage and advise on key operational and legal risks for the development of their new business initiative. We have developed, optimised corporate structures, corporate governance training and procedures, key terms of business, supplier contracts and service terms and provisions. We provide an independent and seasoned commercial voice which can manifest in strategic research.

Investment support: We have helped our client restructure share allocations, take on investment, produce equity or debt investment agreements or options, and convertible note documents. We negotiate and protect our client interests against counter-parties and their lawyers.

Growth support & networking: We provide access to our wide network including introductions to potential collaborative funders, corporate supporters or other aligned organisations. We provide investment readiness support in the form of business plan writing, commercial legal support and strategy implementation.
